PBB - TIC, as the Facility Agent, administers and services the syndicated lenders' requirements. This includes ensuring the borrower complies with the Conditions Precedent to loan drawdowns, setting the interest rate for the lenders, facilitating payments to the lenders, and monitoring the borrower’s compliance with the covenants outlined in the Facility Agreement.

SECURITY TRUSTEE FUNCTIONS:

1. Holds the collaterals/properties/assets which are the subject of mortgage, for the benefit of the Lenders and Borrower.

2. Holds, safekeeps and releases any documents and any other securities/collaterals held in trust;

3. Administers/monitors the collaterals/securities held in trust in accordance with the terms and conditions of the transaction.

4. Prepares and provides the required reports to the Lenders and Borrower/s in accordance with the Bangko Sentral Sentral (BSP) regulations governing trust and other fiduciary transactions;

5. Performs other functions provided in the transaction.
